These Terms & Conditions govern the interior design, manufacturing, supply, installation, and related services provided by CustomNest Interior (“CustomNest”, “we”, “our”, or “us”) to the customer (“Customer”, “you”, or “your”).

By booking our services, approving a quotation, making a payment, approving designs, or otherwise proceeding with a CustomNest project, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

Scope of Services

CustomNest provides interior design, manufacturing, supply, installation, and related interior services for residential and commercial spaces, depending on the scope agreed for each project.

The exact services included in a project will be determined by the approved quotation, BOQ (Bill of Quantities), scope of work, approved designs, material specifications, and other written approvals applicable to that project.

Services may include, where specifically agreed:

  • Interior design and space planning
  • 2D layouts
  • 3D visualisations
  • Modular kitchens
  • Wardrobes
  • TV units and entertainment units
  • Bedroom furniture
  • Living room furniture
  • Storage solutions
  • False ceilings
  • Lighting
  • Electrical work
  • Civil work
  • Painting
  • Plumbing
  • Other interior-related services specifically mentioned in the approved scope
Any product, material, service, or work that is not included in the approved scope of work will be treated as additional work and may incur additional charges.

Consultation & Initial Estimate

Any price, estimate, budget range, proposal, or quotation provided during the initial consultation or before final site validation is intended as an initial estimate unless expressly identified as the final approved project value.

The initial estimate may change based on:

  • Actual site measurements
  • Site conditions
  • Final scope of work
  • Design changes
  • Material selections
  • Hardware selections
  • Changes requested by the Customer
  • Additional work requested by the Customer
  • Builder or society requirements
  • Availability or changes in material prices
  • Any other factors affecting the final execution

The final project value will be confirmed after the applicable scope, measurements, designs, materials, and commercial terms have been finalized and approved.

Quotation Validity

Each quotation issued by CustomNest will remain valid for the period specifically stated in that quotation.

If no validity period is mentioned, CustomNest may revise the quotation if there is a significant change in material prices, supplier pricing, taxes, labour costs, site conditions, or project requirements before the Customer confirms the order.

A quotation does not constitute a confirmed project booking until the required booking payment has been received and the order has been accepted by CustomNest.

Site Measurement & Validation

Before final production or execution, CustomNest may conduct site measurements and validation as required for the project.

Final dimensions may differ from preliminary drawings or measurements. Manufacturing and execution will be based on the final measurements and approved technical drawings applicable to the project.

CustomNest will not be responsible for discrepancies resulting from inaccurate information supplied by the Customer or changes to the property after measurements have been completed.

Scope of Work & BOQ

The approved BOQ and Scope of Work will be the primary reference for determining the products and services included in the project.

The Customer is responsible for reviewing the quotation, BOQ, specifications, quantities, dimensions, materials, finishes, and applicable exclusions before providing approval.

Any item shown in a design, image, sample, presentation, or 3D visualisation but not included in the approved BOQ or Scope of Work will not automatically form part of the final project.

If the Customer requests an addition, deletion, modification, or substitution after approval, CustomNest may revise the project value and/or timeline accordingly.

Design & 3D Visualisation

CustomNest will prepare designs and visualisations based on the Customer's requirements, site conditions, agreed scope, and available information.

3D renders and visualisations are intended to communicate the proposed design, layout, colours, finishes, materials, furniture placement, and overall appearance.

Minor variations may occur due to:

  • Material characteristics
  • Natural variations
  • Manufacturing tolerances
  • Lighting conditions
  • Screen/display differences
  • Availability of specific materials
  • Final site measurements
  • Technical requirements

The final deliverables will be determined by the approved design, BOQ, material specifications, drawings, and written approvals. The Customer should carefully review all designs and specifications before providing final approval.

Design Changes & Approvals

CustomNest will provide design iterations according to the project scope and design process communicated to the Customer. The Customer is expected to provide timely feedback and approvals.

Once a design, material, colour, finish, dimension, or specification has been approved and production or procurement has commenced, changes may not be possible without additional cost and/or timeline impact.

Changes requested after approval may result in:

  • Additional design charges
  • Material cancellation or replacement costs
  • Manufacturing costs
  • Procurement costs
  • Installation costs
  • Additional labour costs
  • Revised delivery timelines

CustomNest will communicate applicable additional charges before proceeding wherever reasonably possible.

Material Selection

Materials, finishes, colours, laminates, veneers, hardware, accessories, and other products will be selected according to the approved project specifications.

Where a particular brand, model, finish, or material has been specified in the approved BOQ, CustomNest will make reasonable efforts to procure and supply the specified product.

If a specified product becomes unavailable, discontinued, or commercially impractical to procure, CustomNest may propose an alternative of comparable suitability for Customer approval.

Natural and manufactured finishes may vary in:

  • Colour
  • Grain
  • Texture
  • Pattern
  • Shade
  • Surface appearance
Such variations do not automatically constitute a manufacturing defect.

Manufacturing & Production

Manufacturing will begin only after the applicable designs, measurements, materials, specifications, and commercial approvals have been completed and the required payment milestone has been received.

Because many CustomNest products are customized and made specifically for the Customer's property, production may involve materials and components that cannot be readily reused for another project.

Once customized production or procurement has commenced, cancellation or modification may result in charges for costs already incurred.

Additional Work & Scope Changes

Any work not specifically included in the approved quotation, BOQ, or Scope of Work will be considered additional work.

Additional work may include:

  • Additional furniture
  • Additional storage
  • Additional electrical points
  • Additional lighting
  • Civil modifications
  • Plumbing modifications
  • Painting
  • False ceiling changes
  • Additional hardware
  • Additional accessories
  • Changes requested after approval
  • Work required because of unforeseen site conditions

Additional work will be undertaken only after the applicable commercial terms have been communicated and approved.

Customer Responsibilities

The Customer agrees to:

  • Provide accurate information about the property and project requirements.
  • Provide CustomNest reasonable access to the site.
  • Ensure the property is available for measurement, installation, and execution.
  • Obtain necessary permissions and approvals where applicable.
  • Provide electricity and other basic site facilities unless otherwise agreed.
  • Make payments according to the agreed payment schedule.
  • Provide timely approvals and decisions.
  • Review designs, drawings, material selections, and quotations carefully.
  • Inform CustomNest of known site defects, structural issues, or restrictions.
  • Protect or remove personal belongings and valuables from work areas.
  • Coordinate with other contractors or vendors not appointed by CustomNest.

Delays resulting from failure to meet these responsibilities may affect the project timeline.

Builder, Society & Site Permissions

The Customer is responsible for obtaining permissions required by the builder, apartment association, society, landlord, or other relevant authority unless such responsibility has specifically been included in CustomNest's scope.

Any fees, deposits, permissions, documentation charges, working-hour restrictions, lift charges, parking charges, or other builder/society-related costs will be borne by the Customer unless expressly included in the approved quotation.

Third-Party Vendors & Contractors

Where third-party contractors or vendors appointed by the Customer are working at the property, CustomNest cannot be held responsible for delays, damage, defects, or coordination issues caused by their work.

Where necessary for quality and coordination, CustomNest may recommend that certain related works be executed through CustomNest-approved vendors.

If another contractor damages CustomNest products or completed work, the cost of repair or replacement may be charged separately.

Project Timeline

CustomNest will provide an estimated project timeline based on the approved scope, project requirements, site readiness, manufacturing requirements, material availability, and applicable payment milestones.

The project timeline may be affected by:

  • Delayed payments
  • Delayed design or material approvals
  • Customer-requested changes
  • Additional work
  • Site not being ready
  • Lack of site access
  • Builder or society restrictions
  • Third-party vendor delays
  • Material availability
  • Transportation issues
  • Unforeseen site conditions
  • Force majeure events

Project Delays

Where a delay is caused by the Customer, including delayed payments, delayed approvals, unavailable site access, changes to approved designs, or other Customer-related reasons, the project completion date may be revised accordingly.

Where a delay is caused by a third-party contractor, builder, society, supplier, transportation provider, or other party outside CustomNest's reasonable control, the project timeline may also be revised.

Site Readiness

The site must be reasonably ready for the agreed stage of work before CustomNest begins execution.

Site readiness may include:

  • Required builder approvals
  • Working electricity
  • Suitable access
  • Required civil work completion
  • Required plumbing readiness
  • Required flooring completion
  • Required wall conditions
  • Removal of obstacles from work areas

If the site is not ready when required, CustomNest may postpone installation or execution until the necessary conditions are met.

Storage, Dispatch & Delivery

CustomNest may notify the Customer when manufactured products are ready for delivery or installation. The Customer must ensure that the site is ready to receive the products.

If products are ready but cannot be delivered or installed because of circumstances attributable to the Customer, CustomNest may charge reasonable storage, transportation, handling, or additional labour costs.

Installation

Installation will be carried out according to the approved designs, technical requirements, site measurements, and project scope.

Minor adjustments may be necessary during installation due to actual site conditions. The Customer or an authorized representative should inspect the work during the applicable installation and handover stages and communicate any visible concerns to the CustomNest team.

Handover & Snag Rectification

Upon substantial completion of the agreed scope, CustomNest will conduct a handover process.

The Customer may identify reasonable installation or finishing issues that require rectification. CustomNest will make reasonable efforts to address valid snags within an appropriate period.

Minor outstanding items that do not materially prevent the intended use of the completed space may be completed after the primary handover.

Cleaning

Basic cleaning associated with the completion of CustomNest's interior installation may be carried out where included in the agreed scope.

Deep cleaning, professional post-construction cleaning, mechanical cleaning, removal of construction debris not generated by CustomNest, or cleaning required because of third-party work will be considered additional unless specifically included in the quotation.

Warranty

CustomNest will provide warranty coverage only for products or services specifically covered under the applicable warranty terms communicated to the Customer.

Warranty period may vary depending on:

  • Product
  • Material
  • Hardware
  • Appliance
  • Manufacturer
  • Service
  • Workmanship

Warranty does not automatically cover:

  • Normal wear and tear
  • Misuse
  • Accidental damage
  • Water leakage or moisture damage
  • Pest or termite damage where not covered
  • Unauthorized modification
  • Damage caused by third parties
  • Improper maintenance
  • Natural material variation
  • Damage caused by shifting or structural movement
  • Damage caused by third-party civil, plumbing or electrical work
  • Products supplied directly by the Customer unless agreed otherwise

Warranty Claims

Warranty claims must be reported to CustomNest through the designated customer-support channel.

The Customer may be required to provide:

  • Project details
  • Description of the issue
  • Photographs or videos
  • Relevant invoices or documents
  • Access to the site for inspection

If the issue is determined to be covered, CustomNest will take reasonable steps to repair, replace, or otherwise resolve the issue in accordance with the applicable warranty terms.

Cancellation

Because interior projects involve customized designs, procurement, manufacturing, and project-specific planning, cancellation after certain project milestones may result in financial consequences.

Once CustomNest has incurred costs relating to design, procurement, customization, manufacturing, transportation, or installation, those costs may not be refundable.

Refunds

Any refund, where applicable, will be determined according to the project's agreed commercial terms and the stage at which cancellation occurs.

Amounts already spent or committed toward:

  • Design
  • Procurement
  • Customized materials
  • Manufacturing
  • Transportation
  • Installation
  • Third-party services
  • Other project-specific expenses

Customized or made-to-order products may not be eligible for return or exchange.

Payment Terms

The Customer agrees to make payments according to the payment schedule specified in the approved quotation or project agreement.

Payment milestones may include:

  • Booking / Design Confirmation
  • Design Approval
  • Material / Production Stage
  • Manufacturing / Dispatch
  • Installation / Handover

CustomNest reserves the right to pause design, manufacturing, dispatch, installation, or other project activities where an applicable payment milestone remains unpaid.

Taxes & Government Charges

Applicable GST and other legally applicable taxes, duties, fees, or government charges will be charged in addition to the quoted amount where required by law, unless explicitly stated otherwise.

Builder, society, municipal, transportation, parking, lift, permission, or similar charges will be included only where specifically stated in the approved quotation.

Intellectual Property

All original designs, drawings, layouts, 3D visualisations, concepts, technical drawings, design presentations, documents, and other creative materials developed by CustomNest remain the intellectual property of CustomNest unless otherwise agreed in writing.

The Customer may use the final approved design and completed project for personal use in connection with the contracted property.

The Customer may not reproduce, resell, distribute, commercially exploit, or provide CustomNest's designs or drawings to another interior contractor for execution without written permission.

Project Photography & Marketing

CustomNest may request permission to photograph or record the project before, during, or after completion for portfolio and marketing purposes.

Where Customer consent is provided, approved content may be used on:

  • Website
  • Social media
  • Portfolio
  • Advertisements
  • Marketing materials
  • Presentations

Limitation of Liability

CustomNest will be responsible only for losses directly attributable to proven negligence, breach, or defective workmanship within the scope of CustomNest's responsibility, subject to applicable law.

CustomNest will not be liable for indirect, incidental, consequential, special, or economic losses arising from circumstances outside its reasonable control.

This may include losses relating to:

  • Temporary accommodation
  • Rental expenses
  • Loss of income
  • Loss of business
  • Personal inconvenience
  • Delays caused by third parties
  • Builder or society restrictions
  • Force majeure events

Force Majeure

CustomNest will not be responsible for delay or failure to perform obligations where such delay or failure results from circumstances beyond its reasonable control.

Such circumstances may include:

  • Natural disasters
  • Floods
  • Fire
  • Earthquakes
  • Severe weather
  • War
  • Riots
  • Government restrictions
  • Lockdowns
  • Pandemics or epidemics
  • Strikes
  • Major transportation disruptions
  • Significant supply-chain disruptions
  • Acts of government
  • Other events beyond reasonable control

Termination

Either party may request termination of the project subject to the applicable commercial terms and project stage.

CustomNest may suspend or terminate services where the Customer:

  • Fails to make required payments
  • Repeatedly delays required approvals
  • Prevents reasonable site access
  • Provides materially inaccurate information
  • Causes serious disruption to project execution
  • Engages in abusive, threatening, or unsafe conduct
  • Breaches material provisions of these Terms

Customer Conduct & Site Safety

The Customer agrees to maintain a safe and respectful environment for CustomNest employees, designers, contractors, vendors, and other personnel working on the project.

CustomNest may suspend site work where there is a serious safety risk, abusive behaviour, harassment, threats, or other conduct that makes continued work unsafe.

Communication & Approvals

Project communications and approvals may take place through email, WhatsApp, project-management systems, written documents, or other communication channels agreed between CustomNest and the Customer.

The Customer is responsible for reviewing communications and providing timely responses. Where a Customer approval is required, delays in receiving such approval may affect the project schedule.

Changes to the Project

Any substantial modification to the agreed project after final approval should be documented through an updated quotation, change order, revised BOQ, or other written confirmation.

The revised document may specify:

  • Additional or reduced scope
  • Revised cost
  • Revised materials
  • Revised timeline
  • Applicable payment requirements

The revised scope will become effective after the Customer's approval.

Third-Party Products

Where the Customer independently purchases products or appoints vendors, CustomNest will not be responsible for defects, delays, warranties, installation problems, or performance issues relating to those third-party products or services unless CustomNest has expressly agreed in writing to assume responsibility.

This may include:

  • Appliances
  • Electronics
  • Curtains
  • Decorative products
  • Plumbing fixtures
  • Tiles
  • Lighting purchased independently
  • Furniture purchased independently
  • Other third-party products

Privacy

Customer information collected by CustomNest will be handled according to CustomNest's applicable Privacy Policy.

Customer information may be used for:

  • Consultation
  • Quotation
  • Project execution
  • Customer support
  • Payments
  • Communication
  • Warranty
  • Legal and regulatory requirements

CustomNest will not knowingly use personal information beyond the purposes permitted by applicable law and the applicable privacy policy.

Governing Law & Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws applicable in India.

The parties will first attempt to resolve any project-related dispute through good-faith discussion and escalation to the appropriate representatives of CustomNest and the Customer.

If a dispute cannot be resolved through mutual discussion, it may be referred to the appropriate legal forum having jurisdiction over CustomNest's registered business location and the applicable project, subject to applicable law.

Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the extent necessary to make it legally enforceable, where possible.

The remaining provisions will continue to remain effective.

Entire Agreement

The approved quotation, BOQ, Scope of Work, design approvals, material specifications, payment schedule, change orders, and these Terms & Conditions collectively form the basis of the agreement between CustomNest and the Customer for the applicable project.

Where there is a conflict between documents, the most recent written and mutually approved project-specific document will apply to the extent of that conflict, unless otherwise specified in writing.

Amendments to These Terms

CustomNest may update these Terms & Conditions from time to time to reflect changes in business practices, services, legal requirements, or operational procedures.

The version applicable to a Customer's project will generally be the version accepted at the time of booking or execution of the project agreement, unless the parties agree otherwise in writing.

Customer Acknowledgement

By proceeding with a CustomNest project, the Customer confirms that they have:

  • Reviewed the quotation and applicable scope of work.
  • Reviewed the applicable BOQ.
  • Reviewed the proposed designs and material specifications.
  • Understood the payment schedule.
  • Understood that additional work may result in additional charges.
  • Understood that design changes after approval may affect cost and timeline.
  • Understood the Customer's responsibilities regarding site access, approvals, payments, and decisions.
  • Read and accepted these Terms & Conditions.
